On 31st July 2017, the board of directors of INLY Media Co., Ltd.(“INLY Media” or “Company”) approved its acquisition of 100% equity interest of Zhuhai Stom Culture and Media Limited Company (“Zhuhai Stom”) which is collectively held by Hu Jinwei and Li Chao at a price of RMB385,000,000 in cash (“Transaction”). The Transaction constitutes the material assets reorganization of a listed company.

INLY Media is a publicly listed company on the Shanghai Stock Exchange (stock code:603598). The services that it provides are mainly media agency service focusing on television and internet, data strategy and consulting, advertising, PR online, brand management and other exclusive service for advertising. INLY Media is a Sino enterprise with a first-class qualification on comprehensive advertising services. It is a member of standing committee of the China Advertising Association and the Association of Accredited Advertising Agencies of China.

The main business of Zhuhai Stom is the media agency. The main sources of media cooperators include CCTV5 Sports Channel, CCTV6 Movie Channel, CCTV10 Science and Education Channel, provincial channels such as Beijing TV and Zhejiang TV, as well as some video websites like Youku, iQIYI and Tencent. Its clientele mainly includes Garten, Audi, Red and Erke.

Cathay Associates Kejie represented INLY Media in the Transaction. The legal services provided mainly consist of: (i) legal due diligence; (ii) drafting, reviewing andrevising the transaction documents; (iii) participating in the commercial and legal negotiations; (iv) issuing the legal opinion.

The Transaction was led by the managing partner of the firm, He Jie. The key members of the team are Zhang Fang (Partner), Li Xin (Partner), Huang Bohao and Ping Xianyin.
