On July13, 2015, Beijing Hualu Baina Film& TV Co., Ltd. (“Hualu Baina”) announced that Hualu Baina's wholly-owned subsidiary, Guangdong Blue Flame Culture MediaLimited Liability Company (“Guangdong BLUE FLAME”) would set up a wholly owned subsidiary, Beijing Blue Flame Culture Media Limited Liability Company(“Beijing BLUE FLAME”, known together with Guangdong BLUE FLAME as “BLUE FLAME” collectively); and Beijing BLUE FLAME would hire avariety show producer team in which Mr. Kim Younghee, the golden variety showproducer and former minister of South Korean MBC TV entertainment department, isthe core member, committing to create a world’s leading television program production company.

Hualu Baina, a company listed on the Shenzhen Stock Exchange (stock code 300291), isan industry-leading television program production and operation company, withits representative works including TV drama such as “Beauty of the Contract”,“Gold War” and etc., as well as variety show such as “Muse Dress”, “Duets” ,“Chinese Comedy Star” and etc..  

Mr. KimYounghee is the former minister of South Korean MBC TV entertainment departmentand a golden variety show producer, with his representative works including “I'ma Singer” (Korean version) , “Dad, Where are We Going” (Koreanversion), and  “Takes A Real Man” (Korean version) , and serves asthe counselor of “Dad, Where are We Going” (Chinese version) and “I'm a Singer” (Chinese version).

We acted as the legal counsel for BLUE FLAME in thistransaction. The legal services provided by us forthis transaction include, among others, (i) advising on the transaction structure;(ii) drafting, reviewing and revising the transaction documents; (iii)participating in the transaction negotiations.
