On 12^th May 2015, Ycmedia Advertising Co., Ltd.  (“Ycmedia”) publicly announced its acquisition of 51% of the equity interest of Kais Media Corporation (“Kais”). Subject to certain terms and conditions, original shareholders of Kais have an option to sell the remaining 49% of Kais’s equity interest to Ycmedia. The aforementioned transaction was approved by Ycmedia’s shareholders’ meeting on 3^rd June 2015.

Ycmedia engages in precision marketing for online advertisements; its shares are listed on the National Equities Exchangeand Quotations (listing code 830999). Kais mainly engages in advertising, public relations and interactive marketing services.

Kejie was the legal counsel for Kais in this transaction. The legal services provided by Kejie for this transaction includes, among others, (i) advising on the transaction structure; (ii) drafting, reviewing and revising the transaction documents; (iii) participating in the transaction negotiations.
