In February 11, 2017, Cathay Associates Kejie partners Cao Lei and Zhang Fang, were invited to give alecture on Laws and Practices of Chinese Enterprises’ Overseas Investment andM&A for Shanghai Electric Power Generation Group.

Cao Lei shared the experience andlessons of Chinese enterprises’ outbound investment and M&A from perspectives of transaction structure, tax planning, letter of intent, duediligence, government supervision and transaction negotiation. She also talked about legal issues of Chinese enterprises’ outbound investment and M&A from perspectives of domestic and overseas government approval, breakup fee and termination fee, and cross-border share swap.

In addition, Zhang Fang shared the experience in how to prevent legal risks of investment projects from perspectives of transaction structure, due diligence, transaction documents,special issues of M&A of listed companies, negotiation, delivery,responsibilities of directors and executives.
